1. Commercial Agreement & Jurisdiction
These Terms of Service ("Terms") govern all operational interactions, commercial contracts, and digital services provided by CNC Corporate IT Services Pty Ltd ("CNC", "we", "us"). These terms operate in accordance with the laws of South Australia and the Commonwealth of Australia.
2. Managed IT Services & Helpdesk SLAs
For clients enrolled in our Managed IT Service plans (Essential Care, Complete Managed IT, Enterprise Pro):
- Service Response Targets: Our helpdesk targets a sub-15 minute response time for urgent Priority 1 technical requests submitted via telephone (1300 262 267) during standard operating hours (9:00 AM – 5:30 PM Adelaide Time, Monday to Friday).
- Remote Assistance Client: Subscribers authorize CNC certified engineers to establish secure, encrypted remote sessions to perform system diagnostic and remediation procedures.
- Client Operational Prerequisites: Clients must maintain legitimate software licensing, provide required administrative permissions, and maintain suitable operating environments for physical server equipment.
3. Hardware Supply, Pricing & Stock Availability
Regarding commercial hardware procurement, Kyocera business printers, Lenovo workstations, and network infrastructure:
- Quotations & Taxes: All pricing quoted across our website and commercial documentation is expressed in Australian Dollars (AUD) and excludes GST unless explicitly designated.
- Real-Time Inventory: Product inventory and pricing are synchronized with our active commercial warehouse database. Orders are finalized upon physical stock confirmation by our dispatch team.
- Title & Risk: Title to all purchased hardware remains with CNC Corporate IT Services until the invoice is paid in full. Risk of loss passes to the client upon physical delivery to the designated location.
4. Warranties & Australian Consumer Law (ACL)
Our products and services incorporate statutory guarantees that cannot be excluded under the Australian Consumer Law (ACL):
- Manufacturer Warranties: Hardware equipment carries official Australian vendor warranties (e.g., Kyocera, Lenovo, Ubiquiti, Samsung, PowerShield). CNC assists clients with warranty processing and hardware replacements.
- Coverage Scope: Warranties do not cover damage caused by physical impact, liquid exposure, unconditioned electrical supply lacking UPS protection, or unauthorized hardware modifications.
5. Invoicing, Credit Terms & Accounts
Standard payment terms for equipment purchases require payment prior to order dispatch unless formal credit terms (Net 14 or Net 30 days) have been executed in writing. Invoices past due may be subject to a commercial late interest rate of 1.5% per month.
6. Limitation of Liability & Data Safeguards
To the maximum extent permitted under Australian statutory law:
- Backup Obligation: Clients maintain the responsibility to ensure verified offsite backups are completed prior to major infrastructure overhauls, server migrations, or hardware maintenance.
- Consequential Loss Exclusion: CNC shall not be held liable for indirect, special, or consequential loss of revenue, business interruption, or data corruption. Total liability shall be limited to the value of fees paid for the specific service rendered.
7. Confidentiality & Intellectual Property
CNC maintains strict confidentiality concerning your corporate network architecture, system credentials, and business operations. Neither party shall disclose proprietary operational data to unauthorized third parties without prior written authorization.
8. Governing Law & Disputes
These Terms are governed by and construed under the laws of South Australia. Both parties submit to the jurisdiction of the courts of South Australia and the Federal Court of Australia.
